PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING SUREMEDIKS® PRODUCTS, SOFTWARE, DEVICES, APPLICATIONS, APIs, OR SERVICES.
These Healthcare Provider Terms and Conditions of Use (“Provider Terms”) govern your access to and use of the SureMediks® platform, including but not limited to the SureMediks® website, mobile applications, devices, sensors, APIs, dashboards, analytics, AI-generated outputs, and related services (collectively, “SureMediks”).
By registering for, accessing, or using SureMediks in any manner, you (“Provider,” “You,” or “Your”) agree to be legally bound by these Provider Terms.
1. Scope and Applicability
These Provider Terms apply to all healthcare professionals, clinics, hospitals, pharmacies, research organizations, employers, wellness providers, and other entities or individuals accessing SureMediks in a professional capacity.
2. Nature of the Platform – No Clinical Services
SureMediks is a technology platform and not a medical or healthcare provider. Rasimo Systems LLC does not provide diagnosis, treatment, or medical advice. All clinical decisions remain solely the responsibility of the Provider.
3. No Responsibility for Patients or Outcomes
Rasimo Systems LLC assumes no responsibility or liability for patient care, patient outcomes, clinical decisions, adverse events, or patient compliance. Providers remain fully responsible for all patient interactions and outcomes.
4. Intellectual Property Rights
SureMediks is the sole and exclusive intellectual property of Rasimo Systems LLC. Providers are granted a limited, non-exclusive, non-transferable, revocable license to use SureMediks solely for internal professional purposes. No ownership rights are transferred.
5. Data Use and Compliance
Providers are solely responsible for ensuring compliance with all applicable privacy, security, and healthcare laws, including HIPAA, HITECH, and applicable state regulations.
6. HIPAA and Regulatory Cross-Reference
Where the Provider is a Covered Entity or Business Associate under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), the Provider acknowledges that Rasimo Systems LLC acts solely as a technology service provider. Protected Health Information (“PHI”) is processed only in accordance with a separately executed Business Associate Agreement (“BAA”), if applicable. In the event of any conflict between these Provider Terms and an executed BAA, the terms of the BAA shall control solely with respect to the handling of PHI. Nothing in these Provider Terms shall be construed as transferring HIPAA compliance obligations from the Provider to Rasimo Systems LLC beyond those expressly stated in a BAA.
7. Fees and Commercial Terms
All fees, billing, and subscription terms are governed by a separate commercial agreement between the Provider and Rasimo Systems LLC.
8. Disclaimers of Warranties
SureMediks is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including fitness for a particular purpose or uninterrupted availability.
9. Limitation of Liability
To the maximum extent permitted by law, Rasimo Systems LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages.
10. Indemnification
The Provider agrees to indemnify and hold harmless Rasimo Systems LLC from claims arising from the Provider’s clinical decisions, misuse of SureMediks, or violation of applicable laws.
11. Termination
Rasimo Systems LLC may suspend or terminate access to SureMediks for violation of these Provider Terms, non-payment, or security concerns.
12. Governing Law
These Provider Terms shall be governed by the laws of the State of North Carolina, with exclusive jurisdiction in Wake County, North Carolina.
13. Entire Agreement
These Provider Terms constitute the entire agreement between the parties regarding use of SureMediks and supersede all prior understandings.
